By accessing the Services, creating an account, submitting a property or deal, purchasing a membership, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not use the Services.

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services.

By using Nova, you represent that the information you provide is accurate and that you have the authority to submit any property, transaction, or business information provided through the Services.

Nova provides services to real estate investors that may include:

• evaluation and underwriting of potential real estate transactions
• novation disposition services
• property marketing and listing coordination
• transaction and closing coordination
• client dashboards and transaction tracking
• deal strategy and disposition support
• membership-based services
• marketing and lead-generation support
• other related real estate investor services

The availability and scope of particular services may depend on the user's membership, property, market, transaction, or a separate written agreement.

Submitting a property or creating an account does not obligate Nova to accept, market, list, purchase, fund, or otherwise participate in a transaction.

Nova specializes in disposition services, including transactions that may utilize a real estate novation structure.

A novation or related disposition arrangement may involve replacing, modifying, or restructuring contractual rights or obligations with the consent of the applicable parties.

The exact structure of any transaction will be governed by the agreements executed for that specific transaction.

Information presented on the Nova website regarding novations is provided for general informational purposes and is not legal advice.

Nothing on the Nova website or client dashboard creates a real estate transaction, agency relationship, partnership, fiduciary relationship, or contractual right unless established in a separate written agreement.

Users may submit properties and potential transactions for Nova's review.

Submission does not guarantee approval.

Nova may:

• approve a submission
• decline a submission
• request additional information
• modify proposed transaction terms
• withdraw proposed terms before a binding agreement exists
• determine that a transaction is not suitable for Nova's services

Values, estimated proceeds, timelines, closing dates, underwriting conclusions, marketing projections, and similar information are estimates unless expressly guaranteed in a signed agreement.

Market conditions, property condition, title issues, financing, inspections, buyer activity, third-party performance, and other circumstances may affect a transaction.

Nova may provide users with an online dashboard containing deal submissions, statuses, calendars, closing dates, notifications, marketing information, and other transaction-related information.

Dashboard information is intended to help users track activity and communicate with Nova.

Calendar dates, status labels, campaign metrics, projected closing dates, and other dashboard information may change and should not be interpreted as legally binding deadlines or guarantees unless they also appear in an applicable signed agreement.

Users are responsible for maintaining the security of their account credentials.

Nova may offer Free, Partner, Growth, or other membership tiers.

Current membership features and pricing are displayed on the Nova website at the time of purchase.

Membership benefits may include enhanced disposition terms, underwriting support, priority review, marketing services, or other features described for the applicable plan.

Nova may modify membership features prospectively. Material changes affecting an existing paid subscription will be communicated when required by applicable law.

Partner

The Partner membership may include services such as:

• pre-submission underwriting
• direct support
• deal strategy assistance
• priority review
• the disposition split described on the applicable membership page or transaction agreement

Growth

The Growth membership may include Partner benefits plus services such as:

• Meta advertising management
• funnel support
• marketing strategy
• campaign optimization
• recurring campaign reviews

Specific marketing deliverables may depend on the user's business, market, advertising budget, platform eligibility, and other circumstances.

Paid memberships are billed on a recurring subscription basis through Stripe.

By purchasing a recurring membership, the user authorizes Nova and its payment processor to charge the payment method provided for applicable subscription fees and any applicable taxes.

Unless canceled, paid memberships automatically renew at the applicable billing interval.

Current advertised pricing:

• Partner: $197 per month
• Growth: $497 per month

The checkout page displays the applicable price before purchase and controls if there is any conflict with pricing stated in these Terms.

Users may cancel a paid membership through the billing management functionality provided in their Nova account, when available.

Unless otherwise stated at checkout or required by law, cancellation takes effect at the end of the current paid billing period.

Users generally retain access to paid membership features through the end of that period.

Canceling a membership does not automatically cancel, terminate, or modify a separate real estate transaction, disposition agreement, marketing commitment, or other agreement with Nova.

Subscription payments are generally non-refundable once a billing period has begun, except where required by law or where Nova expressly agrees otherwise.

Canceling prevents future renewals but does not ordinarily result in a prorated refund for the current billing period.

Any separate transaction or service agreement may contain its own payment, cancellation, or refund terms, which control for that agreement.

Growth and other marketing services are intended to assist users with advertising, funnels, lead generation, campaign strategy, and related activities.

Nova does not guarantee any specific number of:

• leads
• contracts
• appointments
• deals
• revenue
• return on advertising spend
• cost per lead
• other business result

Marketing results depend on numerous factors outside Nova's control, including:

• market conditions
• advertising budgets
• competition
• targeting
• offer quality
• sales performance
• advertising platform decisions
• user responsiveness
• changes to third-party platforms

Advertising spend paid to Meta or another advertising platform may be separate from Nova membership fees unless expressly stated otherwise.

Users are responsible for ensuring that their business practices, advertisements, offers, communications, and use of leads comply with applicable laws and platform requirements.

Nova relies on third-party providers to operate portions of the Services.

These may include:

• payment processors
• hosting providers
• database providers
• email services
• analytics services
• advertising platforms
• listing services
• real estate professionals
• title companies
• other vendors

Nova is not responsible for outages, policy changes, account restrictions, delays, or failures caused by third-party services outside its reasonable control.

Information provided through Nova is intended for business and informational purposes.

Nova is not acting as the user's attorney, accountant, tax advisor, financial advisor, or other licensed professional unless expressly stated in a separate written agreement.

Real estate transactions can have significant legal and tax consequences.

Users should consult their own qualified professionals when appropriate.

Nova does not guarantee that:

• a submitted property will be approved
• a property will sell
• a buyer will perform
• financing will be available
• a particular price will be obtained
• a transaction will close by a projected date

Any guarantees expressly contained in a separately executed written agreement will be governed by that agreement.

Users agree not to:

• submit false or misleading information
• submit properties or contracts they are not authorized to submit
• impersonate another person
• attempt to access another user's account
• interfere with the security or operation of the Services
• attempt to bypass membership restrictions
• scrape or systematically extract Nova data without authorization
• introduce malicious software
• use Nova for fraudulent or unlawful activity
• misuse information obtained through Nova

By using Nova, users consent to receive transactional electronic communications relating to their account, submitted deals, membership, payments, security, and Services.

These may include emails concerning:

• deal submissions
• underwriting decisions
• requests for information
• transaction updates
• closing dates
• membership billing
• marketing campaign updates
• account security

Transactional communications are distinct from promotional marketing communications.

Where required, promotional communications will provide applicable opt-out mechanisms.

The Nova name, website design, software, graphics, branding, content, dashboards, and related materials are owned by or licensed to American Dreams Now LLC and are protected by applicable intellectual property laws.

Users may not copy, reproduce, distribute, sell, reverse engineer, or commercially exploit Nova materials except as permitted by law or with written permission.

Collection and use of personal information is governed by the Nova Privacy Policy.

To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis.

Nova does not warrant that the Services will always be uninterrupted, error-free, secure, or suitable for every transaction or business purpose.

To the maximum extent permitted by applicable law, American Dreams Now LLC, Nova Dispositions, and their owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the Services.

To the extent permitted by law, aggregate liability arising from the Services will not exceed the amount the user paid to Nova for the applicable Service during the six months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot legally be limited.

To the extent permitted by law, users agree to indemnify and hold harmless American Dreams Now LLC, Nova Dispositions, and their affiliates, officers, employees, and contractors from claims, damages, liabilities, and reasonable expenses arising from unlawful use of the Services, violation of these Terms, or infringement of another person's rights.

Nova may suspend or terminate access to the Services where reasonably necessary due to:

• violation of these Terms
• fraud or suspected fraud
• payment failure
• security concerns
• misuse of the platform
• unlawful activity

Termination of a Nova account does not necessarily terminate rights or obligations under separate executed agreements.

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any dispute regarding a specific real estate transaction may also be subject to dispute-resolution provisions contained in the applicable transaction agreement.

Nova may update these Terms from time to time.

When material changes are made, update the "Last Updated" date and provide additional notice where required by applicable law.

Continued use of the Services following an effective update constitutes acceptance to the extent permitted by law.
